Forming a Cyprus company: start with the right structure

The essential steps before incorporation—and the decisions that deserve attention.

The procedure

Choose the business structure and seek approval of the company name. A Cyprus practising lawyer prepares the memorandum and articles and the required HE1 declaration. The incorporation filing records the registered office, officers and initial shareholders. Check which tax, VAT and employer registrations apply and their respective triggers and statutory deadlines; incorporation does not complete those separate obligations.

What deserves attention

Agree ownership, voting rights, funding and management responsibilities before signing. Where there are several investors, consider a shareholders’ agreement addressing transfers, deadlock and exit. Incorporation does not replace any sector-specific licence. Budget for ongoing accounting, statutory filings and beneficial-ownership compliance, rather than treating registration as the end of the process.

Bring identification, proposed names, a description of the business, the intended ownership structure and funding details. Identify who will manage the company and which countries it will operate in. These practical decisions help shape suitable corporate documents.
